Inkagai is a product operated by Algodyne Corporation, a Delaware corporation. In these Terms of Service, Inkagai refers to the product and Services, and Algodyne, we, us, or our refers to Algodyne Corporation.
These Terms govern access to and use of Inkagai websites, applications, accounts, author workspaces, public publishing surfaces, AI-assisted features, import and export features, collaboration features, commerce features, marketplace features, and related services.
By accessing or using Inkagai, you agree to these Terms and the Privacy Policy. If you use Inkagai on behalf of a company, publisher, organization, imprint, or other legal entity, you represent that you have authority to bind that entity.
1. Adults only
You must be at least 18 years old to access, register for, purchase, use, publish through, collaborate through, or otherwise participate in Inkagai.
Inkagai does not offer a parental or guardian-consent path. Algodyne may suspend or delete an account or reservation if it learns that the user is under 18.
2. The Services
Inkagai is an author operating system. Depending on the features enabled for an account or plan, the Services may include:
- Writing, manuscript, binder, planning, research, graph, and revision tools.
- Import, export, formatting, and production workflows.
- AI-assisted writing, planning, analysis, review, and production tools.
- Author pages, book pages, posts, newsletters, storefronts, and public publishing surfaces.
- Collaboration, review, marketplace, commerce, community, and audience features.
- Account, security, billing, support, and administrative features.
Features may be added, modified, limited, suspended, or discontinued. A feature described in product documentation is not available unless it is enabled in the deployed Services for the applicable account or plan.
3. Accounts and security
You are responsible for:
- Providing accurate and current account information.
- Maintaining control of credentials, passkeys, recovery material, devices, and sessions.
- Keeping your email account secure.
- Using appropriate workspace roles and permissions.
- Promptly notifying Algodyne of unauthorized access or suspected compromise.
You may not share an account in a way that circumvents plans, security controls, access controls, or usage limits. Team and publisher workspaces must use proper member accounts, roles, and permissions.
Algodyne may suspend or restrict an account, session, workspace, or public surface where necessary to protect users, comply with law, prevent abuse, enforce these Terms, address payment failure, or protect the Services.
4. Author handles and public identities
Inkagai may provide author handles, profile URLs, or related public identities.
A reservation or account does not create an unconditional ownership right in a handle, URL, author page, trademark, public identity, or account. Algodyne may reject, reserve, revoke, transfer, modify, or place a hold on a handle that:
- Infringes or appears likely to infringe rights.
- Impersonates or misleads.
- Is unlawful, abusive, hateful, obscene, fraudulent, or spam-related.
- Is needed for platform operations, security, support, internal use, or protected names.
- Was obtained through bots, referral abuse, fake accounts, or other manipulation.
Algodyne may require identity or rights verification before activating or transferring a handle.
5. User Content
User Content means content that you or your workspace submits, uploads, writes, imports, creates, stores, shares, publishes, sells, or otherwise provides through Inkagai. It includes manuscripts, notes, research, graph data, comments, prompts, accepted AI output, author pages, posts, book pages, storefront content, community posts, marketplace briefs, images, files, and related materials.
You retain ownership of your User Content. These Terms do not transfer ownership of User Content to Algodyne.
You grant Algodyne a limited, worldwide license to host, store, transmit, process, display, reproduce, format, modify, export, publish, distribute, and otherwise use User Content only as necessary to provide, secure, support, and operate the Services according to your actions, settings, plan, workspace rules, and these Terms.
For Public Content, you grant Algodyne a license to display, distribute, cache, index, promote, make available, and technically process the content as needed to operate public author pages, book pages, posts, storefronts, newsletters, community surfaces, search discovery, feeds, previews, and related public features.
You are responsible for ensuring that you have the rights, permissions, releases, licenses, and lawful bases needed to upload, store, process, publish, share, sell, or otherwise use User Content through Inkagai.
6. Private Content and explicit processing
Inkagai separates Private Content from Public Content. Private Content does not become public unless an authorized user performs an explicit publication or sharing action.
Some features require selected content to be processed for a specific purpose, including AI assistance, import, conversion, export, publishing, collaboration, review, search, or marketplace activity. By invoking such a feature, you authorize Algodyne and the relevant enabled service providers to process the selected content for the requested action.
Inkagai does not provide a zero-knowledge or client-side-encrypted-vault warranty unless the product explicitly identifies that mode as enabled for your workspace and the corresponding controls are operating. Any future privacy mode that materially changes Algodyne's access to content will be governed by the policy and product disclosures then in effect.
7. AI-assisted features
AI-assisted features are tools for author support and do not replace author judgment.
You acknowledge that:
- AI output may be inaccurate, incomplete, biased, offensive, derivative, infringing, duplicative, or unsuitable.
- You are responsible for reviewing AI output before accepting, publishing, distributing, selling, or relying on it.
- AI output does not become canonical User Content unless you explicitly accept, insert, save, or otherwise adopt it.
- Enabled AI features may use Algodyne infrastructure or third-party providers identified in the applicable vendor register.
- Provider availability, quality, cost, latency, terms, and processing behavior may vary.
- Workspace administrators may restrict or disable AI features.
- You must not use AI features to violate law, rights, these Terms, or other Algodyne policies.
Algodyne does not guarantee that AI output is unique, copyrightable, legally safe, publication-ready, commercially viable, accurate, or suitable for a particular purpose.
Algodyne does not use Private Content to train an Algodyne-owned model or authorize a provider to train on Private Content without separate, explicit, opt-in authorization for the specific content and purpose.
The AI Use Policy supplements these Terms.
8. Public publishing and audience features
You are responsible for Public Content you publish through Inkagai, including:
- Accuracy, legality, permissions, and rights clearance.
- Defamation, privacy, publicity, copyright, trademark, confidentiality, and contractual risks.
- Reader, subscriber, customer, reviewer, collaborator, and audience-data obligations.
- Required sponsored, affiliate, referral, incentive, testimonial, AI-assisted, and commercial disclosures.
- Compliance with applicable consumer-protection, advertising, tax, commerce, platform, and professional rules.
If you use author newsletters, you must use only audiences for which you have the necessary permission and lawful basis, provide accurate sender and subject information and a valid postal address, avoid purchased or scraped lists, and honor unsubscribe and suppression state. Algodyne may pause a campaign lane, sender, or account to protect recipients, deliverability, the Services, or legal compliance.
Author newsletter data-processing terms
For author newsletters, you or your publishing entity are the controller or business for the reader list and campaign purpose, and Algodyne is your processor or service provider. These terms are the parties' data-processing instructions for that feature.
Processing lasts while you use the author newsletter service and during the documented deletion, retention, backup, dispute, and legal-hold periods. Processing consists of collecting double-opt-in requests, maintaining the roster, storing campaign content, scheduling and delivering messages, recording minimal delivery evidence, honoring withdrawal, preventing prohibited re-mailing, supporting rights requests, and securing the service. Data subjects are prospective and confirmed readers. Personal Data includes email address; a one-way email hash; request, consent, withdrawal, removal, bounce, complaint, and suppression evidence; campaign content; delivery state; and provider message or event identifiers.
Algodyne will:
- Process this data only on your documented product instructions and these Terms, unless law requires otherwise.
- Ensure authorized personnel are bound by confidentiality and apply appropriate technical and organizational security controls.
- Use subprocessors under written data-protection terms, remain responsible for their contracted processing, and maintain the current vendor and subprocessor register. You may stop using the feature if you object to a material subprocessor change.
- Assist with data-subject requests, security incidents, impact assessments, regulator consultations, and evidence needed to demonstrate compliance, taking account of the processing and information available to Algodyne.
- Notify you without undue delay after confirming a Personal Data breach affecting your author newsletter data.
- Delete or return author newsletter data at the end of the service according to your product actions and the published retention schedule, except where law or a documented legal suppression requires retention.
- Make available the contractual and operational evidence reasonably needed to demonstrate these obligations and support proportionate audits. Audit access must protect other customers, security controls, privileged material, and provider confidentiality.
- Use the documented transfer mechanism for international processing and not claim a location or safeguard that lacks contractual and operational evidence.
You will determine and document the lawful purpose, notices, permissions, jurisdiction scope, and sender identity; respond to reader requests; keep campaign content lawful and accurate; and use Inkagai only for readers who completed Inkagai double opt-in. You must not upload or import purchased, rented, scraped, third-party, or children's lists, combine an author list with Algodyne platform communications, circumvent suppression, or instruct Algodyne to process data unlawfully.
Algodyne may remove, restrict, demote, disable, or refuse to host Public Content that violates law, rights, these Terms, another Algodyne policy, or service-security requirements.
Public Content may be indexed, archived, cached, copied, quoted, scraped, embedded, linked, screenshotted, or retained outside Inkagai.
9. Acceptable use
You must not use Inkagai to:
- Violate law, regulations, court orders, rights, or contracts.
- Infringe copyright, trademark, privacy, publicity, confidentiality, moral rights, database rights, or other rights.
- Publish unlawful, fraudulent, deceptive, defamatory, harassing, exploitative, hateful, violent, extremist, or abusive content.
- Impersonate another person, author, publisher, brand, service, or organization.
- Upload malware, exploit code, credential-theft tools, spam systems, or harmful technical material.
- Interfere with, scan, overload, reverse engineer, disrupt, or compromise Inkagai or related systems except where applicable law expressly permits the activity.
- Circumvent usage limits, rate limits, billing, access controls, security controls, or entitlements.
- Harvest Personal Data or send spam.
- Use bots or fake accounts to manipulate reservations, referrals, reviews, analytics, votes, rewards, or marketplace activity.
- Misrepresent AI-generated, sponsored, affiliate, referral, or paid content where disclosure is required.
- Create legal, security, reputational, operational, or compliance risk for Algodyne, users, or third parties.
A more specific policy controls for the conduct it covers.
10. Workspaces and collaborators
Workspace owners and administrators may control workspace settings, plans, roles, permissions, AI policies, sharing rules, publishing rules, and access to workspace content.
If you join a workspace, its owner or administrator may manage your access, view workspace activity, revoke membership, configure processing modes, and control workspace-level content and settings.
You are responsible for inviting appropriate collaborators, assigning appropriate permissions, and understanding the access granted by each role.
11. Marketplace and professional services
Where marketplace or professional-service features are enabled, providers are independent from Algodyne unless expressly stated otherwise.
Algodyne does not guarantee provider quality, availability, outcomes, deadlines, commercial success, sales, reviews, rankings, publication acceptance, legal clearance, or editorial suitability. Provider agreements, milestones, deliverables, revisions, payments, refunds, disputes, and rights assignments may be subject to separate terms.
12. Payments, subscriptions, usage, and refunds
Paid plans, credits, premium features, exports, AI usage, domains, storefront features, marketplace features, and other paid services may be billed through a third-party payment provider.
You agree to pay the fees, taxes, usage charges, and overages shown before purchase.
Unless the purchase flow states otherwise:
- Subscription fees are billed in advance.
- Usage-based fees and credits may be metered.
- Payments are non-refundable except where required by law or expressly stated in the applicable purchase or refund terms.
- Payment failure may result in suspension, downgrade, feature limitation, or account restriction.
- Taxes, currency conversion, bank fees, and payment-provider fees may apply.
Algodyne may change future pricing, features, limits, or plans with notice where required. A price change does not retroactively alter a completed purchase unless the applicable purchase terms expressly permit it.
13. Beta, preview, and early-access features
Beta, preview, experimental, early-access, or waitlist features may be incomplete, unstable, limited, changed, removed, or unavailable.
Do not rely on such features for critical publication deadlines, legal compliance, archival storage, revenue operations, or irreversible workflows unless Algodyne expressly identifies the feature as production-ready for that purpose.
14. Third-party services
Inkagai may integrate with infrastructure, payment, email, analytics, domain, publishing, support, AI, and document services.
Third-party services are subject to their own terms, fees, limits, availability, and privacy practices. Algodyne is not responsible for third-party services it does not control.
15. Intellectual property
Inkagai, Algodyne, the software, design system, website, interfaces, documentation, graphics, logos, trademarks, service marks, and other platform materials are owned by Algodyne or its licensors.
Except where law permits or Algodyne authorizes in writing, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from platform materials.
Exports and public-page output may be used according to your plan, these Terms, and the rights you hold in User Content. Platform templates, themes, layouts, and generated site structures may remain subject to Algodyne rights and plan limitations.
16. Feedback
If you provide ideas, suggestions, bug reports, feature requests, or other feedback, you grant Algodyne a perpetual, worldwide, royalty-free, irrevocable license to use that feedback without restriction or compensation. This does not transfer ownership of Private Content.
17. Copyright and rights complaints
Algodyne may remove or restrict content that appears to infringe rights. Repeated infringement or serious rights violations may result in suspension or termination. Algodyne may publish a separate copyright or takedown policy for public, marketplace, and community content.
18. Privacy
The Privacy Policy explains how Algodyne processes Personal Data through Inkagai. The Cookie Policy explains the use of cookies and similar technologies.
19. Availability and changes
Inkagai may experience interruptions, errors, delays, data conflicts, provider outages, maintenance, security events, or feature limitations. Algodyne does not guarantee uninterrupted or error-free service.
Algodyne may modify, suspend, limit, or discontinue features, plans, public surfaces, integrations, providers, or the Services.
20. Suspension and termination
You may stop using Inkagai at any time.
Algodyne may suspend or terminate access if:
- You violate these Terms or another applicable policy.
- You create legal, security, operational, fraud, abuse, payment, or reputational risk.
- Required payment fails.
- Algodyne is required to do so by law, court order, regulator, or provider restriction.
- Continued service would create unacceptable risk.
- Algodyne learns that you are under 18.
After termination, Public Content may be removed or disabled, and other information may be deleted or retained according to the Privacy Policy, legal obligations, billing records, backups, disputes, and export settings.
21. Disclaimers
Inkagai is provided on an as-is and as-available basis. To the maximum extent permitted by law, Algodyne disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, security, and reliability.
Algodyne does not guarantee publication success, sales, revenue, reviews, rankings, audience growth, marketplace outcomes, manuscript quality, originality, copyrightability, legal clearance, AI accuracy, or continuous third-party availability.
22. Limitation of liability
To the maximum extent permitted by law, Algodyne and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, audience, business opportunity, publication opportunity, or use.
To the maximum extent permitted by law, Algodyne's total liability for all claims relating to Inkagai or these Terms will not exceed the greater of:
- the amount you paid for the Services giving rise to the claim during the three months before the event giving rise to liability; or
- USD 100.
Limitations apply only to the extent permitted by applicable law.
23. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Algodyne and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from or relating to:
- Your User Content or Public Content.
- Your use of Inkagai.
- Your violation of these Terms or another applicable policy.
- Your violation of law or third-party rights.
- Your workspace members, collaborators, providers, customers, subscribers, readers, or invitees where the claim arises from your content, settings, instructions, or actions.
24. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Subject to mandatory non-waivable law, disputes arising from or relating to Inkagai or these Terms will be brought exclusively in the state or federal courts located in Delaware, and each party consents to those courts' jurisdiction.
25. Changes to these Terms
Algodyne may update these Terms as Inkagai, laws, pricing, providers, features, or policies change. The current Terms will be posted on the Inkagai legal page with their effective and last-updated dates. Material changes will be communicated where required.
